<a href="https://www.thompsonhine.com/professionals/lumpkin-layla" target="_blank" rel="noreferrer noopener">Layla&nbsp;Dotson Lumpkin</a>, a partner in the Chicago office, recently joined the Board of Directors for The Gray Matter Experience.&nbsp;<a href="https://www.graymatterexperience.com/" target="_self" rel="noopener">Gray Matter</a> is an entrepreneurial experience program for high school students across the country. All programs consist of a series of engaging workshops comprised of team building activities, group and individual tasks, discussions, guest speakers, and fun and engaging field trips.

Layla focuses her practice on venture capital and emerging company transactions and mergers and acquisitions. She counsels early-stage founders throughout the business life cycle, including initial formation, the fundraising process and exit transactions. She acts as outside general counsel for growth companies, such as advising them on early operations and structuring complex commercial arrangements. She counsels investors leading and following SAFE, convertible note and the series alphabet of equity financing rounds. She mentors underrepresented founders and frequently presents on and writes about early-stage company, venture capital and small business legal issues. She also teaches entrepreneurship law and venture capital finance as an adjunct law professor.

His experience encompasses assisting with corporate acquisitions, sales and unique corporate structurings. He also has experience with mezzanine debt, venture capital and private equity financings.
